One of the specifics of agreements in intellectual property sphere is that the subjects of these agreements are intangible benefits.
In Latin, the noun ‘license’ (licentia) means ‘right’, ‘permission’, ‘liberty’.
Generally speaking, license agreement means specifically sale of permission to use an object of intellectual property.
License agreement means agreement by which one party (licensor), an owner of exclusive right to an invention, trademark, industrial sample, and other objects of intellectual property grants right (license) to use these objects in a certain territory for a certain period of time, while the other party (licensee) agrees to pay certain fee for this license and fulfill certain conditions.
In terms of the scope of licensee’s exclusive rights concerning licensor and third parties, license agreements may be classified as:
• one-time license;
• exclusive license;
• nonexclusive license;
• sublicense.
Exclusive license is issued to one licensee only, and prohibits licensor from using the object of intellectual property in the sphere covered by this license and issuing licenses to other entities to use this object in the same sphere.
One-time license is issued to one licensee only, and prohibits licensor from issuing licenses to other entities to use the object of intellectual property in the sphere covered by this license but does not prohibit licensor from using this object in the same sphere.
Nonexclusive license does not prohibit licensor from using the object of intellectual property in the sphere covered by this license and issuing licenses to other entities to use this object in the same sphere.
Sublicense is a variety of ordinary and exclusive licenses, which differs from the latter by the fact that it is issued by a counteragent licensee which bought the initial license. Sublicense terms and scope of transferred rights make sublicense completely dependent on the initial license agreement. Licensees who were issued an ordinary license cannot transfer a sublicense.
Right transfer agreement: according to an intellectual property rights transfer agreement, one party (an entity which holds exclusive proprietary rights) transfers these rights, fully or partially, to the other party according to applicable laws and on terms and conditions stipulated in this agreement.
Registration of license to use an object of intellectual property is carried out by the State Department of Intellectual Property of Ukraine. Upon completion of registration process, information about registration of license agreement is filed in the appropriate Register.
